On September 17th, the D.C. Council passed the RENTAL Act of 2025, which includes the most significant reforms to the Tenant Opportunity to Purchase Act (“TOPA”) in decades. The full statutory text has not yet been published, but it includes the following key changes:
– A revised definition to “tenant”
– Expanded exemptions such as certain 2-4 unit buildings, transfers among existing owners, entry/exit of capital investors, and newly constructed multifamily buildings for 15 years)
– Changes to the notice requirements
– Certification of tenant support providers and “Qualified Purchasers”
– Mandatory filings with DHCD and a public database of transactions aimed at transparency
– Prohibitions on owner/investor communications
– Cooling-off periods and no-cost tenant training mandates
This is undoubtedly a historic shift for hashtag#TOPA, but as always, the impact will become clear in practice. I, for one, can’t wait to see the way owners, tenants, developers, and the District will implement and respond to these new rules.
And whether this heightened administrative framework will strengthen or weaken D.C.’s housing market is certainly an open question that only time will tell, though I have my suspicions.
